1. The sale transactions reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on February 24, 2023.

2. Represents the weighted average of multiple sale transactions ranging in price from $40.00 to $40.20. The reporting person agrees to provide full information regarding the number of shares sold at each separate price upon request by the SEC staff, the Company or a security holder of the Company.

3. These options will vest in four equal annual installments beginning on November 28, 2020.
