Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

electroCore, Inc. (the “Company”), previously announced on March 9, 2022, that Michael G. Atieh, a Class I member of its board of directors (the “Board”) whose term lasts until the Company’s 2022 annual meeting of stockholders, is resigning from the Board effective as of June 8, 2022. Mr. Atieh’s decision to resign did not result from any disagreement with the Company on any matter relating to Company operations, policies or practices. By resolution of the Board, the size of the Board will decrease from ten to nine members as of June 8, 2022.
