Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 18, 2022, the Board of Directors (the “Board”) of eBay Inc. (the “Company”) increased its size to 10 members and appointed Aparna Chennapragada as a member of the Board effective immediately. Her term will expire at the Company’s 2023 annual meeting of stockholders or at such time as her respective successor has been elected and qualified. Ms. Chennapragada has not been named to a committee of the Board at this time.

On August 18, 2022, Kathleen Mitic provided notice to the Company of her retirement as a member of the Board effective September 15, 2022. Immediately following Ms. Mitic’s retirement from the Board, the Board’s size will be decreased to 9 members. Ms. Mitic’s decision to leave the Board was not as a result of any disagreement with the Company.

As a non-employee director, Ms. Chennapragada is entitled to receive the same compensation paid by the Company to each of its non-employee directors as described under “Compensation of Directors” in the Company’s Definitive Proxy Statement for its 2022 Annual Meeting of Stockholders filed with the Securities and Exchange Commission (the “SEC”) on April 21, 2022, which description is incorporated herein by reference. In addition, the Company will enter into its form of Indemnity Agreement with Ms. Chennapragada, a copy of which has been filed as Exhibit 10.01 to the Company’s Registration Statement on Form S-1 as filed with the SEC on July 15, 1998.

There is no arrangement or understanding between Ms. Chennapragada and any other persons pursuant to which she was appointed as a director. Furthermore, there are no transactions between Ms. Chennapragada and the Company that would be required to be reported under Item 404(a) of Regulation S-K.
