Explanation of Responses:

1. Grant of shares upon vesting of restricted stock units. The shares underlying the award shall vest on the earlier of the date immediately prior of the 2026 annual meeting of stockholders of the Issuer and June 13, 2026, the first anniversary date of the grant.

2. The shares subject to this option shall vest on the earlier of the date immediately prior of the 2026 annual meeting of stockholders of the Issuer and June 13, 2026, the first anniversary of the date of the grant.
