Explanation of Responses:

1. Reflects the vesting of restricted stock units granted to the reporting person on May 29, 2024, together with 44 dividend equivalent rights accrued thereon.

2. Restricted stock units convert into common stock on a one-for-one basis.

3. The restricted stock units vest 100% on the earlier of (i) the first anniversary of the grant date and (ii) the date of the issuer's annual general meeting of stockholders held in fiscal 2026.
