1. The Company granted a restricted stock award of 20,161 shares of common stock, 50% of the shares were fully vested on grant, and 25% of the shares vest in each of September 30, 2024 and December 31, 2024.

2. The per share price was based on the average daily closing price of BEEM's common stock for November 29, 2024 to December 29, 2024.
