1. Represents restricted stock units ("RSUs") granted to the Reporting Person on May 15, 2025 (the "Grant Date"). Each RSU represents a contingent right to receive one share of the Issuer's common stock. The RSU's vest in full on February 19, 2026, subject to continued service with the Issuer through such vesting date.
