1. The restricted stock units convert into common stock of Lifecore Biomedical, Inc. on a 1 for 1 basis.

2. Vests on the earlier of the one year anniversary of the date hereof or the date of the annual meeting of stockholders of the Company first held in calendar year 2026 (provided such date is no less than 50 weeks from the date hereof).
