1. Each restricted stock unit represents a contingent right to receive one share of Verra Mobility Corporation Class A Common Stock.

2. On May 21, 2024, the Reporting Person was granted 6,229 restricted stock units, vesting in full on the earlier of (a) May 21, 2025, or (b) the date immediately prior to the next annual meeting of the Issuer's stockholders occurring after the date of grant.

3. On May 20, 2025, the Reporting Person was granted 7,949 restricted stock units, vesting in full on the earlier of (a) May 20, 2026, or (b) the date immediately prior to the next annual meeting of the Issuer's stockholders occurring after the date of grant.
