Represents restricted stock units, which vest on the earlier of: (1) the first anniversary of the grant date, or (2) the day prior to the Issuer's next annual general meeting of stockholders to occur after the grant date, subject to the Reporting Person's continued service on the Issuer's board of directors through such date.
