Explanation of Responses:

1. Grant of restricted stock as the annual stock retainer under the Servotronics, Inc. Non-Employee Director Compensation Program and the Company's 2022 Equity Incentive Plan (the "2022 Plan"). These restricted shares will vest one-fourth on each of the regularly scheduled quarterly board meetings to review the financial statements for the quarters ending June 30, September 30 and December 31, 2025 and the remainder of which shall vest on the date of the 2026 annual meeting. In addition, the restricted shares are subject to acceleration upon a Change in Control as defined in the 2022 Plan.
