Explanation of Responses:

1. Pursuant to the Bristow Group Inc. 2021 Equity Incentive Plan, as amended, the reporting person was granted restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of common stock of Bristow Group Inc. The RSUs vest in full on June 4, 2026, subject to the reporting person's continued status as a director of Bristow Group Inc. as of the vesting date.
