Explanation of Responses:

1. The Issuer awarded the Reporting Person 1,690 time-based Restricted Stock Units, each of which represents a contingent right to receive one share of the Issuer's common stock, and will vest 100% on May 3, 2026, predicated upon the Reporting Person's continued service as a non-employee member of the Issuer's Board of Directors through the vesting date.
