Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs"), which represent a contingent right to receive one share of Common Stock for each RSU. 25% of the RSUs vest on March 2, 2027, with 25% of the RSUs vesting annually thereafter for the following three years, provided that the Reporting Person remains in continuous service on each vesting date.
