Explanation of Responses:

1. The reported price is a weighted average price. These shares were disposed of in multiple transactions at prices ranging from $17.960177 to $17.965 per share, inclusive. The reporting person undertakes to provide to the issuer, any securityholder of the issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in this Footnote 1 to this Form 4.

2. On April 1, 2025, pursuant to the Agreement and Plan of Merger dated as of December 9, 2024 (the "Merger Agreement"), by and among the Issuer, Novolex Holdings, LLC (the "Parent") and Alpha Lion Sub, Inc. ("Merger Sub"), Merger Sub merged with and into the Issuer, with the Issuer continuing as the surviving corporation and a wholly-owned subsidiary of the Parent.

3. Pursuant to the Merger Agreement, each share of the Issuer's common stock was canceled and converted into the right to receive $18.00 in cash, without interest.
