Explanation of Responses:

1. Restricted stock units ("RSUs") that will vest on the last day of each fiscal quarter with the first vesting occurring on July 31, 2024, provided that in any event the award shall vest in full immediately prior to the start of the next annual meeting of shareholders, so long as the recipient remains a member of the board as of the vesting time.

2. Each RSU represents a contingent right to receive one share of MAMA common stock.
