1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock ("Common Stock"). The RSUs shall vest on the one-year anniversary of the date of grant (or, if earlier, on the business day immediately preceding the next annual meeting of Company shareholders), subject to the Reporting Person's continued service to the Issuer through the relevant vesting date.
