1. Represents 54,347 shares underlying restricted stock units ("RSUs"). The RSUs will vest and be settled in four equal quarterly installments on 8/6/2025, 11/6/2025, 2/6/2026, and 5/6/2026. Each RSU shall entitle its holder to receive one Common Stock of the issuer.
