Long-Term Incentive Plan, which will, pursuant to the Director's election under the National Oilwell Varco, Inc. Director Nonqualified Deferred Compensation Plan, be distributed upon the Director's retirement or termination from the issuer's board of directors, but not earlier than one year from the date of grant.
