Exempt transfer under the Uniform Transfers to Minors Act to account established for a grandchild (such accounts, "UTMA Account #1", "UTMA Account #2", "UTMA Account #3", and "UTMA Account #4"), for which the reporting person serves as custodian. The reporting person disclaims beneficial ownership of these shares, and this report should not be deemed an admission that the reporting person is the beneficial owner of such shares for purposes of Section 16 or for any other purpose.
