Explanation of Responses:

1. On January 6, 2025, Ms. Ballenger, a newly appointed director of ePlus inc. (the "Company") was granted a restricted stock award consisting of 1,074 shares of common stock of the Company (the "Restricted Shares"). The Restricted Shares were granted pursuant to the Company's 2024 Non-Employee Director Long Term Incentive Plan (the "Plan") and are subject to a Restriction Period that ends on the earlier of October 1, 2025, or the date of the Company's annual stockholder meeting that next follows after the date that the Award was granted (the "Restriction Period"). As more fully described in the Plan, under certain other circumstances the restrictions may lapse, or the shares may be forfeited and transferred back to the Company.
