Item 5.02. Departure of Directors or Principal Officers

On March 15, 2023, Ravi Kumar Singisetti notified Digimarc Corporation (the “Company”) that he will not stand for re-election to the Board of Directors due to new professional commitments. Accordingly, his term as a Director of the Company will end on May 10, 2023, when the Company’s shareholders will elect Directors for the coming year. Upon completion of his term, Mr. Kumar Singisetti will remain a strategic advisor to the Board and executive team, supporting the Company as needed going forward.
