Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 5, 2021, Sheela Zemlin informed Digimarc Corporation (the “Company”) and its Board of Directors (the “Board”) of her decision to resign as a member of the Board, effective January 1, 2022. Ms. Zemlin’s decision to resign was based on personal reasons and was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
