Item 2.01

Completion of Acquisition or Disposition of Assets.

On March 31, 2022, DarioHealth Corp., or the Company, announced the closing of the previously announced Technology Purchase Agreement, or the Purchase Agreement, by and between Physimax Technologies Ltd., or Physimax, and the Company’s wholly owned subsidiary, Labstyle Innovation Ltd. Pursuant to the terms of the Purchase Agreement, the Company issued to Physimax 256,660 shares of the Company’s common stock, $0.0001 par value per share, representing a purchase price of $5,500,000 in the aggregate, at a price per share equal to $21.35, a portion of which will be subject to certain escrow conditions, plus a cash payment of $500,000, as well as assumed certain liabilities in an approximate amount of $1,020,000.
