Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 24, 2025, the Compensation Committee of the Board of Directors of Cyngn Inc. approved the payment of a bonus of $300,000 as per the terms of that certain Employment Agreement between the Company and Lior Tal, the Company’s CEO. In addition, the Compensation Committee approved the payment of a discretionary bonus of $700,000 to Mr. Tal.
