Explanation of Responses:

1. On December 28, 2023, Mr. Cowart filed a Form 4 to report the gift of 28,490 shares of common stock of the Issuer to a donor advised fund. That gift was subsequently mutually rescinded on January 10, 2024, and effective December 28, 2023, before the shares were ever transferred to the donor advised fund.

Remarks:

Mr. Cowart disclaims beneficial ownership of the securities reported herein except to the extent of his pecuniary interest therein.
