Item 8.01 Other Events.

On February 20, 2026, Cooper-Standard Holdings Inc. (the “Company” or “we”) issued a press release to announce the pricing of the private offering (the “Offering”) by its wholly-owned subsidiary, Cooper-Standard Automotive Inc., of $1,100.0 million in aggregate principal amount of 9.250% Senior Secured First Lien Notes due 2031 (the “New Notes”).

The closing of the Offering is subject to customary closing conditions. The New Notes and related guarantees have not, and will not be, registered under the Securities Act, or the securities laws of any other jurisdiction. The New Notes may not be offered or sold within the United States or to U.S. persons absent registration or an applicable exemption. The New Notes and related guarantees will be offered only to persons reasonably believed to be qualified institutional buyers under Rule 144A of the Securities Act or, outside the United States, to persons other than “U.S. persons” in compliance with Regulations S under the Securities Act. This Current Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy the New Notes and shall not constitute an offer, solicitation or sale of any securities in any jurisdiction in which such offer solicitation or sale would be unlawful. This Current Report is being issued pursuant to and in accordance with Rule 135c under the Securities Act.
