Explanation of Responses:

1. These shares of restricted stock were granted to the Reporting Person on December 5, 2024 under the Issuer's 2023 Equity Incentive Plan, and vest in full on June 30, 2025, subject to the Reporting Person's continued employment through the applicable vesting date, or upon a change in control of the Issuer.

Remarks:

This Form 4 does not report any shares held by Dune Acquisition Holdings LLC, of which the Reporting Person is a member. The Reporting Person does not have voting or dispositive control over, and therefore disclaims any beneficial ownership of, the shares held by Dune Acquisition Holdings LLC.
