Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 6, 2025, Kathleen Love notified comScore, Inc. (the "Company") of her resignation from the Board of Directors of the Company, effective February 7, 2025. Ms. Love's resignation was for personal reasons and was not a result of any disagreement with the Company known to an executive officer of the Company on any matter relating to the Company's operations, policies or practices.
