Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Appointment of Josh McCarter to Nominating and Corporate Governance Committee

On April 11, 2022, Compass, Inc. (the “Company”) filed a Form 8-K under Item 5.02 pursuant to which it announced that the Board of Directors of the Company (the “Board”) had elected Josh McCarter to its Board, effective on April 15, 2022. At that time, Mr. McCarter had not been appointed to any committees of the Board. On May 10, 2022, the Board appointed Mr. McCarter to the Nominating and Corporate Governance Committee of the Board, effective immediately.

Appointment of Allan Leinwand to Compensation Committee

On May 9, 2022, the Company filed a Form 8-K under Item 5.02 pursuant to which it announced that the Board had elected Allan Leinwand to its Board, effective on May 10, 2022. At that time, Mr. Leinwand had not been appointed to any committees of the Board. On May 10, 2022, the Board appointed Mr. Leinwand to the Compensation Committee of the Board, effective immediately.
