Item 8.01 Other Events.

On November 15, 2022, Colicity Inc. filed a preliminary proxy statement relating to a special meeting of stockholders to approve an amendment to Colicity Inc.’s certificate of incorporation which would, if implemented, allow Colicity Inc. to unwind and redeem all of its outstanding public shares prior to December 30, 2022, in advance of the contractual termination date of February 26, 2023. The Colicity Inc. board of directors has established November 21, 2022 as the record date for the special meeting. Stockholders of record of Colicity Inc. as of the close of business on the record date will be entitled to notice of and to vote at the special meeting.
