Item 1.01 Entry Into A Material Definitive Agreement.

As previously disclosed by ClimateRock, a Cayman Islands exempted company (“ClimateRock”), in its Current Reports on Form 8-K filed with the Securities and Exchange Commission on January 5, 2024 and November 7, 2024, on December 30, 2023 ClimateRock entered into an Agreement and Plan of Merger (as amended, including by the amendment dated November 6, 2024, the “Merger Agreement”) with GreenRock Corp, a Cayman Islands exempted company (“GreenRock”), ClimateRock Holdings Limited, a Cayman Islands exempted company and a wholly owned subsidiary of ClimateRock (“Holdings”), ClimateRock Merger Sub Limited, a Cayman Islands exempted company and a wholly-owned subsidiary of Holdings (“SPAC Merger Sub”), and GreenRock Merger Sub Corp., a Cayman Islands exempted company and a wholly owned subsidiary of Holdings (“Company Merger Sub”) (all of the transactions contemplated by the Merger Agreement as amended and restated, including the issuances of securities thereunder, the “Business Combination”).

On March 21, 2025, ClimateRock, GreenRock, Holdings, SPAC Merger Sub, and Company Merger Sub entered into that certain Amended and Restated Agreement and Plan of Merger (the “Restated Merger Agreement”), pursuant to which the original Merger Agreement was amended and restated in its entirety to, among other things, reflect the fact that the founding shareholders of GreenRock will receive an aggregate of 2,100,000 Class B ordinary shares, par value $0.0001 per share, of Holdings (“Holdings Class B Ordinary Shares”) as part of their merger consideration (in lieu of 2,100,000 Class A ordinary shares, par value $0.0001 per share of Holdings (“Holdings Class A Ordinary Shares”). Such Holdings Class B Ordinary Shares represent 10% of the merger consideration received by such founding GreenRock shareholders. Each Holdings Class B Ordinary Share shall entitle the holder to 10 votes per share in addition to certain additional rights specified in the amended and restated memorandum and articles of Holdings that will be adopted prior to the closing of the Business Combination, subject to receipt of shareholder approval.

Pursuant to the terms of the Restated Merger Agreement, the Merger Consideration to be delivered to the GreenRock Shareholders in connection with the Business Combination will be 32,000,000 newly-issued Holdings ordinary shares, consisting of (i) 29,900,000 Holdings Class A Ordinary Shares of which 4,000,000 will be held in a segregated account pursuant to an escrow agreement that Holdings, ClimateRock, and GreenRock will enter into at or prior to the Closing with an escrow agent mutually acceptable to ClimateRock and GreenRock, and (ii) 2,100,000 Holdings Class B Ordinary Shares, allocated between the founding shareholders of GreenRock.
