Item 8.01 Other Events.

On June 17, 2025, Clene Inc. (the “Company”) received a notice from the Nasdaq Stock Market LLC (“Nasdaq”) that for the last 10 consecutive business days, from June 2, 2025 to June 16, 2025, Company’s market value of listed securities has been $35.0 million or greater. Accordingly, the Company has regained compliance with Nasdaq Listing Rule 5550(b)(2) for continued listing on Nasdaq and this matter is now closed.
