Item 8.01 Other Events.

As previously reported in a Current Report on Form 8-K on June 2, 2023, Clene Inc. (the “Company”) received a notice from The Nasdaq Stock Market LLC (“Nasdaq”), dated May 31, 2023, that the Company was not in compliance with Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market, as the closing bid price of the Company’s common stock had been below the minimum $1.00 per share requirement for the last 30 consecutive business days.

On June 15, 2023, the Company received a written notice from Nasdaq informing the Company that it has regained compliance with Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market, as the closing bid price of the Company’s common stock has been at $1.00 per share or greater for the last 10 consecutive business days. Accordingly, Nasdaq has determined this matter is now closed.
