Section 5 – Corporate Governance and Management

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 27, 2026, City Holding Company (the “Company”) announced that David L. Bumgarner, age 61, the Company’s current Executive Vice President and Chief Financial Officer, will assume the title of Senior Executive Vice President and Chief Financial Officer of the Company effective as of the close of business on May 27, 2026 (the “Effective Date”). Mr. Bumgarner has served as the Executive Vice President and Chief Financial Officer for the Company since April 2019. Mr. Bumgarner will receive a base salary consistent with the Bank’s current executive compensation practices and receive benefits materially similar to the executive benefits disclosed in the Company’s Definitive Proxy Statement, filed with the SEC on March 27, 2026.
