Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 22, 2025, Kyle J. Young tendered his resignation from his position as Interim Chief Operating Officer of our company. His resignation will become effective on January 2, 2026. Mr. Young’s decision to resign was not the result of any disagreement with the Company or its management on any matter relating to the Company’s operations, policies, or practices.
