Item 8.01. Other Events.

On October 4, 2024, Cingulate Inc. (the “Company”) filed a Form 8-K disclosing a single allegation against Shane Schaffer, the Chief Executive Officer and Chairman of the Board of Directors (the “Board”) of the Company.

On January 28, 2025, that charge against Dr. Schaffer was dismissed and the matter resolved.

Dr. Schaffer continues to have the Board’s full confidence and support to lead the Company.
