1. Consists of 3,465 shares withheld for tax purposes in connection with the vesting of 10,000 Restricted Stock Units ("RSUs") on January 2, 2025.

2. Includes 6,666 RSUs which vest in equal installments on March 15, 2025 and March 15, 2026; and 93,300 RSUs which vest in equal installments on April 1, 2025 and November 18, 2025.
