The reporting person undertakes to provide to the registrant, any security holder of the registrant, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range.

2. Represents shares of Common Stock of the issuer issuable upon settlement of Restricted Stock Units, subject to continued service with the Issuer through the vesting dates. The shares will vest in equal installments on September 19, 2024, December 19, 2024 and March 19, 2025.

3. Represents the number of shares sold by the reporting person to cover the tax obligation realized upon the vesting of restricted stock units.
