Explanation of Responses:

1. Represents the shares required to satisfy tax withholding obligations in connection with the vesting of 6,677 restricted stock units ("RSUs").

2. The RSU award will vest in four equal installments on the first, second, third and fourth anniversary of the date of the grant provided, that the Reporting Person continues to provide services to the Issuer through the vesting date.

3. Each RSU represents a contingent right to receive one share of the common stock. All unvested RSUs will automatically expire upon Reporting Person's termination of service from Issuer.
