Explanation of Responses:

1. Restricted stock units granted pursuant to the Issuer's OB07 Long-Term Incentive Plan which vest in increments over four years as follows: one-eighth of such awards shall vest on the grant date, and one-sixteenth of such awards shall vest on September 5, 2025 and each quarterly anniversary thereafter.
