Explanation of Responses:

1. Represents restricted stock units. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock units shall vest in two substantially equal installments on November 15, 2025 and March 15, 2026, subject to the reporting person's continued service to the Issuer through each such vesting date. The restricted stock units will be subject to acceleration as provided in the reporting person's employment agreement.
