1. Includes 391 shares of Common Stock acquired pursuant to the Issuer's Employee Stock Purchase Plan since the last-filed Form 4.

2. Pursuant to that certain Agreement and Plan of Merger, dated as of November 2, 2023, (the "Merger Agreement"), by and among the Issuer, Cedar Fair, L.P., CopperSteel HoldCo, Inc. (now known as Six Flags Entertainment Corporation) ("HoldCo") and CopperSteel Merger Sub, LLC, the reported securities, which included 462 shares of Common Stock, 11,564 shares of restricted Common Stock and 1,171 Restricted Stock Units were each disposed of in exchange for shares of HoldCo common stock, restricted shares of HoldCo common stock or HoldCo restricted stock units, as applicable, in accordance with the Merger Agreement at an exchange ratio of 0.5800.
