Item 2.02 Results of Operations and Financial Condition.

On March 25, 2026, Chewy, Inc. (the “Company”) announced its financial results for the fourth quarter and full fiscal year 2025 ended February 1, 2026, by issuing a press release. The Company previously announced that it would be holding a conference call on March 25, 2026, at 8 a.m. Eastern Time to discuss its financial results for the fourth quarter and full fiscal year 2025 ended February 1, 2026. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Current Report”) and is incorporated by reference herein.
