Explanation of Responses:

1. On January 14, 2026, Issuer awarded Reporting Person 52,876 time-based restricted stock units ("RSUs"), each of which represents a contingent right to receive one of Issuer's common shares. 1/3 of the RSUs will vest equally on each of December 15, 2026, 2027 and 2028, provided that the Reporting Person remains continuously employed by Issuer on such date, subject to certain accelerated vesting provisions as provided in the award agreement for the RSUs.
