Explanation of Responses:

1. Represents restricted stock granted under the Issuer's Stock Incentive Plan and shall become vested as to 33% of the total number of shares on the first, second and third anniversaries of December 19, 2024, subject to early termination and adjustment as provided in the applicable restricted stock grant agreement.

2. Includes 7,538 shares received in connection with the spin-off of the Issuer from AFC, of which 5,976 shares are restricted shares received in the spin-off from restricted common stock granted under the AFC Stock Incentive Plan (the AFC Plan). 1,427 shares are restricted shares received in the spin-off from restricted common stock granted under the AFC Plan on January 3, 2023 with approximately 50% of the remaining restricted shares vesting on each of January 3, 2025 and 2026, 275 shares are restricted shares received in the spin-off from restricted common stock granted under the AFC Plan on January 11, 2022 with approximately 50% of the remaining restricted shares vesting on each of January 11, 2025 and 2026 and 4,274 shares shall vest over a three-year period with approximately 33% vesting on each of the first, second and third anniversaries of January 2, 2024, subject to early termination and adjustment as provided in the applicable restricted stock grant agreement.
