ITEM 8.01. OTHER EVENTS.

On May 19, 2022, based on the recommendation of the Nomination and Corporate Governance Committee of the Board of Directors (the “Board”) of CEVA, Inc., the Board appointed current director Maria Marced to replace Eliyahu Ayalon on the Audit Committee of the Board (the “Audit Committee”). Accordingly, Maria Marced, Sven-Christer Nilsson and Louis Silver now serve as the members of the Audit Committee, with Mr. Silver serving as Audit Committee chair.
