Explanation of Responses:

1. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan previously adopted by the reporting person, dated August 21, 2024.

2. Reflects the weighted average sale price. The highest price at which shares were sold was $28.2350 and the lowest price at which shares were sold was $27.5400. Open market sale transactions were made on the same day at different prices through a trade order executed by a broker-dealer. The reporting person has reported on a single line all such transactions that occurred within a one dollar price range. The reporting person hereby undertakes to provide upon request by the Securities and Exchange Commission staff, the issuer or a shareholder of the issuer, full information regarding the number of shares sold at each separate price.

3. This amount includes 222,097 shares of restricted common stock subject to vesting and certain other restrictions.
