Departure of Directors or Certain Officers: Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 14, 2025, Dean Kehler, a director of Celularity Inc. (the “Company”), resigned as a member of the Board of Directors of the Company. His resignation was not the result of any disagreement with the Company.
