Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 25, 2022, Amal Johnson, a member and the chairperson of the board of directors (the “Board”) of CalAmp Corp. (the “Company”), and a member of the Governance and Nominating Committee and the Cybersecurity and Data Privacy Committee of the Board, notified the Company that she has decided not to stand for re-election as a director of the Company at the Company’s 2022 annual stockholder meeting. The decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. ‎
